ISS against Atmel board ouster, but backs change

(Reuters) - ISS said that, while it felt the board would benefit by adding Brian Bean and Joseph Berardine, the proxy voting card distributed with Perlegos' proposal did not allow for replacing just two directors, instead of five.

"We believe that inclusion of dissident nominees would help improve the board's independence and management oversight, and also diversify board expertise. However, as the management and dissident's strategies are similar, we do not believe that a full-board change is necessary," ISS said.
